Bob Sterrett Appointed Director
of Human Resources

NORTHROP GRUMMAN APPOINTS BOB STERRETT

DIRECTOR HUMAN RESOURCES FOR POLY-SCIENTIFIC

BLACKSBURG, VA -- Mar. 20, 2002 -- Northrop Grumman Corporation (NYSE: NOC) announced today the appointment of Bob Sterrett as director of human resources for Poly-Scientific, a business unit of the company's Component Technologies sector.

“Bob's extensive knowledge of our business and successful track record in working with all our employees makes him well qualified to lead human resources for our company,” said Larry Ball, president of Poly-Scientific. “A new position was created so we could take advantage of the synergy that exists within our operations and look at new ways for our talented employees to apply technology and innovative manufacturing practices. People development is one of our key strategic initiatives.”

Sterrett has been with the company 21 years and currently serves as human resources director of the Blacks burg operation of Poly-Scientific. In his new position, he will have full responsibility to manage and administer the human resources functions for all Poly-Scientific operations including Blacksburg Va., Charlotte and Murphy, N.C., and Springfield, Pa. His responsibilities will include benefit administration, employee communication and welfare, and community service. In particular, Sterrett will develop and administer policies and procedures to ensure compliance with Northrop Grumman human resources and benefits policies.

Sterrett will report to Ball. The human resources staffs at each of Poly-Scientific's operations will work directly with Sterrett.

He joined the company in June 1980. He holds a master's and bachelor's degree from Virginia Polytechnic Institute and State University. Sterrett resides in Blacksburg with his wife Julie and sons Scott, age 18, and Robert, age 11.
